Terms of Service

These Terms of Service ("Terms") are a contract between Dror Kedem, trading as HishoAgent, Osek Patur (Israeli VAT-exempt sole proprietor) no. 307863720, registered at Rokach St. 21, Apt. 9, Ramat Gan 5253511, Israel ("HishoAgent," "we," "us") and the business entering into them ("you," "the business"). By creating an account or using HishoAgent ("the Service"), you agree to these Terms, and you confirm you have authority to bind the business you represent to them.

HishoAgent is a business-to-business (B2B) service, offered to businesses for use in their trade or profession, not to individual consumers for personal use. Where these Terms refer to statutory rights that apply only to consumers, those rights do not apply to your use of the Service. See Section 4 and our Refund Policy for what does apply instead.

1. The Service

HishoAgent answers phone calls on behalf of a subscribed business, using an AI voice agent to handle frequently asked questions, capture caller details, and log calls to your dashboard, based on the business information (hours, services, FAQ, tone) you provide us. The Service is not a licensed employee, agent, or professional of your business, and you remain solely responsible for the accuracy of the information it is given and for how you act on any leads or calls it logs.

2. Accounts

You must provide accurate account and business information and keep your login secure. One account is intended per business. You are responsible for all activity under your account, and must be of legal age to enter into a binding contract in your jurisdiction.

3. Free trial and subscriptions

New subscriptions include a 14-day free trial. A valid payment method is required to start the trial, but you will not be charged until the trial ends. You may cancel any time before the trial ends, from your Billing page, at no cost. If you do not cancel, your subscription renews automatically each month at the price shown at checkout until you cancel.

Subscriptions and payments are processed by Paddle.com, acting as our merchant of record. Paddle handles your payment details, invoicing, and sales tax/VAT; we never store your card details ourselves.

4. No statutory consumer withdrawal right

Because HishoAgent is supplied to businesses for business purposes, statutory consumer "cooling-off" or withdrawal rights that apply to consumer digital-content contracts in some jurisdictions (for example, under EU consumer protection law) do not apply to this Service. Instead, we give every subscription a 14-day free trial before any charge is taken, and you can cancel at any point during the trial at no cost. See our Refund Policy for what happens after the trial ends.

5. Included minutes and additional usage

Each plan includes a set number of call minutes per month. Call minutes used beyond your plan's included amount in a billing period may be billed as additional usage, at a per-minute rate disclosed in your account or at checkout. We will make reasonable efforts to notify you as you approach your included-minutes limit.

6. Acceptable use

• Do not use the Service for any unlawful purpose, or to harass, defraud, or spam callers.
• Do not attempt to reverse-engineer, resell, or misuse the Service outside its intended purpose as a business phone receptionist.
• You are responsible for ensuring your use of the Service complies with laws applicable to your business and to the people who call you.

7. Call recording and transcription

Calls handled by the Service may be recorded and transcribed to deliver the Service, log leads, and improve call quality. Laws on call-recording consent vary by country and, in some places, by state or region; some jurisdictions require all parties to a call to consent to recording. You are responsible for ensuring your use of the Service complies with the call-recording laws applicable to your business and to your callers, including providing any disclosure your jurisdiction requires.

8. Third-party services

The Service relies on third-party infrastructure to operate, including Twilio (telephony and call routing), Google Cloud (AI voice processing), Supabase (data storage and authentication), Paddle (billing), Resend (transactional email), and Vercel (hosting). Your use of the Service is also subject to the availability of these providers.

9. Intellectual property

We own all rights in the HishoAgent software, brand, and underlying technology. You retain ownership of the business information you provide us and the call/lead data generated from your account; you grant us a license to use it solely to provide and improve the Service to you.

10. Cancellation and termination

You may cancel your subscription at any time from your Billing page; cancellation stops future renewals but does not retroactively refund the current billing period except as described in our Refund Policy. We may suspend or terminate accounts that violate these Terms, misuse the Service, or fail to pay amounts owed.

11. Disclaimers and limitation of liability

The Service is provided "as is." AI-generated responses may occasionally be incomplete or inaccurate, and calls may be missed or mishandled due to factors outside our control (network issues, third-party outages, incomplete business information, etc). To the maximum extent permitted by law, our total liability to you for any claim relating to the Service is limited to the amount you paid us in the three months before the claim arose. Neither party is liable for indirect, incidental, or consequential damages, including lost business or lost customers. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising from your business information, your use of the Service in violation of these Terms, or your failure to comply with laws applicable to your business (including call-recording consent laws).

13. Force majeure

Neither party is liable for delay or failure to perform caused by events outside its reasonable control, including outages of third-party providers listed in Section 8.

14. Governing law and disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles, and the courts of Israel have exclusive jurisdiction over any dispute, except where mandatory local law applicable to you requires otherwise.

15. General

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms are the entire agreement between us regarding the Service.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new "Last updated" date; continued use of the Service after a change means you accept the updated Terms.
